Agreement for Sale vs Sale Deed in India: What Buyers Should Check

Understand the difference between an Indian agreement for sale and a sale deed, and organise payment, registration and possession questions before buying.

By MarkMyProperty · Updated

Coverage: India; state amendments, stamp duty, registration procedure and transaction-specific requirements must be confirmed locally.

A promise to sell and a completed transfer serve different purposes

An agreement for sale records the terms on which the parties intend a sale to take place. A sale deed is normally the conveyance used to complete the sale of the property described in it. Reading the document heading alone is insufficient: the rights transferred, parties, description and registration position matter.

Section 54 of the Transfer of Property Act distinguishes a sale from a contract for sale and states that the contract itself does not create an interest in or charge on the property. Ask a property lawyer to explain the effect of your document, including state amendments and any special transaction structure.

Use the agreement to make obligations explicit

Before signing, identify every owner, the exact parcel or apartment, the price, included rights and the proposed sequence of payments. Ask what evidence must be supplied before each stage and what happens if financing, title clearance or another agreed condition is not satisfied. A deadline without a responsible party and required evidence is difficult to manage.

Keep payment receipts connected to the agreement and record how each payment is credited. Review cancellation, default, refund and dispute provisions before a booking becomes a large commitment. Do not infer a right to recover money from an agent’s statement that the paperwork is standard.

  • Match owner names and the property schedule.
  • Identify conditions and deadlines before payment.
  • Ask who clears any existing mortgage and supplies release evidence.
  • Record possession, keys, documents and included parking separately.

Prepare the sale deed and completion file

Have the draft deed checked against the agreed terms and the verified ownership chain. Resolve differences in area, boundaries, survey references, owner shares or included rights before the execution appointment. Ask the local registration department for the current process, stamp-duty basis, fees and supporting documents instead of using a nationwide percentage.

Treat execution, payment, registration and handover as connected steps whose order needs to be agreed. Registration is an important legal step but does not independently settle every competing claim, boundary problem or building approval. Keep the registered document and receipt alongside the title investigation and possession record.

A completion worksheet

The following is an organisational example. Your lawyer should determine the legal effect and required sequence for the actual purchase.

Questions to resolve before completion
StageEvidence to request
AgreementIdentified property, conditions, payment schedule and signed terms
Before conveyanceTitle review, mortgage release arrangements and reconciled draft
RegistrationExecuted instrument, registration receipt and official document reference
HandoverAgreed possession, keys, originals and dues reconciliation

Compare properties without confusing document stages

A listing described as booked, allotted or agreement-ready may be at a different stage from a completed registered sale. Ask the lister what is being offered and whether the transaction is a direct sale, assignment or another arrangement. Each can require a different investigation.

Use India sale listings to compare locations and stated offers, then record the legal stage beside each property. A map outline helps you discuss location; the deed schedule and suitable survey evidence establish what must be investigated. Keep unresolved legal questions visible before committing to a timetable.

Frequently asked questions

Does an agreement for sale automatically make me the owner?

No. Section 54 distinguishes a contract for sale from the transfer itself. Have the effect of your document and the required completion steps checked locally.

Are stamp duty and registration charges the same across India?

No. Confirm the applicable state rules, transaction type, valuation basis and current charges with the relevant registration department.

Does a registered sale deed replace a title investigation?

No. The document, earlier ownership, seller authority, charges, boundaries and relevant approvals still need to be examined.
